SPECIAL RESOLUTION
Amendments to the Memorandum and Articles of Association
On the Sunday of the Sitting (7th March), we are proposing to add a section to the SYP’s governing documents - our Memorandum and Articles of Association.
This section, which is called ‘Appointment’ would replace the current Article 29. The proposed addition deals with the way that SYP Board members (Chair, Vice Chair and Trustee Directors) are appointed.
Kris Sinclair MSYP and SYP General Manager Ann Brown will present the proposed change to you at the Sitting and explain why the Board has recommended this change and what it would mean.
The section proposed to be added to the Articles of Association is listed below.
Appointment
29. Subject to the other provisions of these Articles, a person may be appointed or reappointed as a Trustee Director by being elected at the annual general meeting of the Company.
30. Two of the Trustee Directors shall be appointed as Chair and Vice Chair of the Company. The Trustee Directors shall appoint the Chair and Vice Chair from amongst their number at the first meeting of the Board following the annual general meeting.
31. The Company Secretary to the Company shall be appointed in accordance with article 53.
32. Any person may be elected only twice to each of the offices of Chair and Vice Chair. Any vacancy in respect of the Chair and Vice Chair may be filled by a person appointed by the Board and any person so appointed shall hold office until conclusion of the next annual general meeting following appointment.
